Educational guide, not legal or tax advice.
Forming a Colorado LLC does not automatically license the business to sell, hire, serve customers, build, rent property, sell food, or operate in a regulated industry. The $50 Articles filing creates the LLC. Licenses and permits depend on what the business actually does and where it operates.

Colorado sales tax license
Colorado DOR’s standard retail license page says businesses making retail sales in Colorado use the Retail Sales Tax License. The 2026 fee depends on when you apply:
| Application timing | Fee |
|---|---|
| January-June 2026 | $16 |
| July-December 2026 | $12 |
For new accounts, DOR says a $50 deposit must be remitted with the application and is refunded after the business has collected and paid $50 in state sales tax.
This is not part of the Secretary of State LLC filing fee.
Local and home-rule issues
Colorado has state-administered local taxes and self-administered home-rule jurisdictions. That means two businesses with the same product can have different tax and license obligations depending on location, delivery area, and customer address.
For city-facing businesses, check:
- City business license
- City sales/use tax license
- Zoning or home occupation rules
- Sign permits
- Health department permits
- Building or contractor licensing
Industry permits
Some Colorado LLCs need specialized licenses before operating:
| Industry | Examples of extra checks |
|---|---|
| Restaurants and food | Health department, sales tax, local license |
| Alcohol | State and local liquor licensing |
| Construction | City contractor licensing, permits, workers’ compensation |
| Childcare | State licensing |
| Healthcare | Professional licensing boards |
| Real estate | Division of Real Estate rules |
| Cannabis | State and local marijuana licensing |
Common mistakes
Thinking LLC approval equals permission to operate
Secretary of State approval creates the entity. It does not clear industry, tax, local, zoning, or employer requirements.
Missing home-rule city tax registration
Colorado local tax is not always handled only through one state system.
Ignoring delivery rules
Retail delivery fee and local tax rules can affect ecommerce or delivery businesses.
Registering too early or too late for sales tax
Register before collecting taxable sales, but do not create unused accounts without a plan to file required returns.
