Illinois registered agent requirements
Illinois law and Secretary of State instructions require the LLC to maintain:
- A registered agent in Illinois
- A registered office in Illinois
- A street or road address, not only a P.O. Box
- A registered office address that matches the business office address of the registered agent
The agent can be:
- An individual Illinois resident
- An entity authorized to transact business in Illinois
What the agent does
The registered agent is mainly for official notice and legal service of process. A good agent system helps you avoid missing lawsuits, Secretary of State notices, annual report reminders, and official correspondence.
It does not automatically:
- File Articles of Organization
- File the annual report unless you separately buy that service
- Register tax accounts
- Apply for EIN
- Create an operating agreement
- Handle local permits
Should you use yourself or a service?
Using yourself can reduce cost if you have a reliable Illinois address and are comfortable with that address appearing in public records. A commercial agent can be useful if:
- You do not have a stable Illinois street address
- You want a layer of address privacy
- You travel often
- You want compliance reminders
- You formed in Illinois but operate from another location
Changing registered agent
Illinois Secretary of State lists Statement of Change of Registered Agent and/or Registered Office at $25. That filing fee is separate from any private registered agent service charge.
Update the record promptly if the agent resigns, moves, or stops serving. Failure to maintain an Illinois registered agent can put the LLC into delinquency or worse compliance status.
