What the resident agent does

The resident agent is the official recipient for service of process and certain notices. This role is not the same as:

  • Forming the LLC
  • Preparing the operating agreement
  • Getting an EIN
  • Registering MassTaxConnect accounts
  • Filing local business certificates
  • Filing tax returns

Changing the resident agent

Massachusetts LLC information says a Statement of Change of Resident Agent/Resident Office can be filed online. It lists $25 for paper or fax filings and no fee if filed electronically.

Do not cancel an old registered agent service until the replacement filing is accepted. A gap in agent coverage can create compliance problems.

Privacy and reliability

If you act as your own resident agent, your address may appear in business records and you need to reliably handle legal notices. A professional agent may be useful if you do not want to use a public-facing address or if you are not consistently available.
