Deadline

Nebraska law says the first biennial report is delivered between January 1 and April 1 of the odd-numbered year following the calendar year in which the LLC was formed. Later reports follow the same January 1-April 1 window every odd-numbered year.

Example: an LLC formed in 2026 generally has its first biennial report due by April 1, 2027.

Fee and delinquency

The online filing system lists a $25 LLC biennial report fee and says a separate portal fee is charged. The paper fee is $30.

The Secretary of State says reports are delinquent on June 16. Failure to file can lead to administrative dissolution, so a low filing fee does not make the deadline optional.

What the biennial report is not

The biennial report is not:

  • Federal income tax return
  • Nebraska income tax return
  • Sales tax return
  • Withholding filing
  • UI quarterly report
  • Registered agent service payment
  • Proof of Publication
  • Operating agreement
