Who can serve

North Dakota says a business may not serve as its own registered agent. An individual residing in North Dakota may serve as a noncommercial agent, and qualifying business entities with a North Dakota business office may serve under the state’s rules.

The named agent must approve the appointment. Keep the physical address current and make sure the agent can reliably receive process during ordinary business hours.

What the registered agent does

The registered agent receives legal process and official notices. The agent is not automatically responsible for:

  • Registering the LLC
  • Writing the operating agreement
  • Getting an EIN
  • Registering tax accounts
  • Filing tax returns
  • Registering employees
  • Obtaining local or professional licenses

Consider privacy, regular-hours availability, mail scanning, forwarding rules, renewal price, cancellation terms, and whether annual report reminders are included.

Can I use only a post office box?

Do not assume a post office box satisfies the registered-office requirement. North Dakota requires a physical address for the registered agent.

Does a registered agent service register the LLC?

Not automatically. Registration is a separate Secretary of State filing.

What happens if the agent resigns?

Appoint a replacement promptly. An LLC must maintain a qualifying North Dakota registered agent to remain in good standing.
