Who can serve

An Ohio resident individual or a qualifying business entity with an Ohio business address can serve as statutory agent. The address must be a street address in Ohio, not only a post office box or private mailbox, and an authorized person must be present during ordinary hours.

The agent gives written acceptance on the initial filing. Keep the agent and address current.

What the agent does

The statutory agent receives service of process and official notices. The agent is not automatically responsible for:

Writing the operating agreement
Getting an EIN
Registering Ohio tax accounts
Filing tax returns
Registering employees
Obtaining local or professional licenses

Choosing an agent

Consider privacy, regular-hours availability, mail scanning, forwarding rules, renewal price, cancellation terms, and whether tax or compliance reminders are actually included.

Practical note

The registered agent record should stay current for the full life of the LLC, not just on formation day. If the agent resigns, the office address changes, or mail is not forwarded quickly, the LLC can miss lawsuits, tax notices, annual reminders, or administrative-warning letters.
