Who can serve

An individual or qualifying business entity may serve as the registered agent if the requirements are met and the agent can receive official documents at the Oregon registered office during normal business hours. Keep the name and address current in the state record.

What the agent does

The agent receives lawsuits, official notices, and certain Secretary of State correspondence. The agent does not automatically:

  • Form the LLC
  • Write an operating agreement
  • Apply for an EIN
  • Register Oregon tax accounts
  • File tax returns
  • Obtain local or professional licenses

Owner versus paid service

Serving as your own agent can avoid a recurring service charge, but it puts the address in the public business record and requires reliable availability. A paid agent can provide a business address, mail handling, and reminders, but compare the renewal price, forwarding policy, cancellation rules, and add-on charges.

FAQ

Does a registered agent form the Oregon LLC?

Not automatically. The LLC is formed by filing Articles of Organization with the Oregon Secretary of State.

Can I change the registered agent later?

Yes. Update the state record promptly when the agent or registered office changes.

Is the registered agent the same as the business owner?

No. The agent is the official contact for service of process and state notices. The owner may also serve if qualified.
