Educational guide, not legal or tax advice.

Rhode Island LLC formation does not include every tax account, license, permit, or local registration. Requirements depend on the product or service, location, employees, and industry.

Educational note: This guide is for general informational purposes only. Confirm current requirements with Rhode Island agencies, the city or town, and qualified professionals.

No universal business license

Rhode Island does not use one general license that covers every LLC. The state Business Assistant helps identify forms, permits, and licenses based on the business type and location.

Sales tax registration

Businesses making covered retail sales generally need a Permit to Make Sales at Retail before starting. Rhode Island’s sales and use tax rate is generally 7%, and the permit must be renewed annually. Registration is separate from forming the LLC.

Common activity-specific checks

  • Construction and home improvement
  • Food service, lodging, and alcohol
  • Childcare and health-related services
  • Professional services regulated by a board
  • Real estate, finance, insurance, and securities
  • Transportation and vehicle-related businesses
  • Home-based businesses and local zoning

Employer setup

The Rhode Island combined registration service can be used for sales tax, withholding, unemployment insurance, temporary disability insurance, and job development fund registration when applicable. An EIN alone does not create those accounts.
