Educational guide, not legal or tax advice.

Wyoming is known for having no individual or corporate income tax, but a Wyoming LLC can still have tax and filing obligations. The most common state-level issues are annual report license tax, sales tax licensing, unemployment insurance, workers’ compensation, and local or industry requirements.

Educational note: This guide is for general informational purposes only. It is not legal, tax, accounting, or financial advice. Confirm current requirements with the IRS, Wyoming Department of Revenue, Wyoming Secretary of State, and Wyoming Department of Workforce Services.

First tax decision

Question Practical answer
Does Wyoming have individual or corporate income tax? Wyoming says it does not
Does a Wyoming LLC still pay an annual state fee? Yes. Annual report license tax is due each year
Is sales tax license automatic? No
Is EIN automatic? No. Apply separately with IRS
Does forming in Wyoming avoid home-state taxes? Not necessarily
Does hiring employees create more accounts? Yes, review DWS requirements

For many Wyoming LLCs:

Form LLC -> get EIN if needed -> check sales tax license -> set up employer accounts if hiring -> file annual report every year

Annual report license tax

Wyoming LLCs file an annual report and pay annual report license tax to the Secretary of State. The minimum is $60, or $.0002 per dollar of Wyoming-located assets if that amount is higher.

This is not federal income tax. It is an annual state filing tied to maintaining the LLC.

Sales tax

Wyoming Department of Revenue FAQ says simply creating a business entity does not automatically mean the company needs a Wyoming sales tax license.

The requirement depends on what the business sells and how it operates. Wyoming law requires every vendor that must conduct taxable business in the state to obtain a sales tax license, with a $60 license fee for each new vendor.

If you sell tangible goods, certain services, or sell into Wyoming from outside the state, confirm whether sales tax registration applies.

Federal tax classification

An LLC is formed under state law, but federal tax classification is separate.

LLC type Common federal default
Single-member LLC Disregarded entity unless it elects otherwise
Multi-member LLC Partnership unless it elects otherwise
LLC electing corporate tax Corporation if proper election is made
LLC electing S corporation status Possible if eligibility rules are met and election is made

Federal tax still matters even if Wyoming has no state income tax.

Payroll and hiring

If the LLC hires employees, handle payroll and employer setup before paying wages.

Review:

  • EIN
  • Federal payroll tax
  • Wyoming unemployment insurance
  • Workers’ compensation coverage
  • New hire reporting
  • Payroll records
  • Workplace compliance notices

Wyoming DWS says workers’ compensation coverage may be required before work begins for extra-hazardous industries.

Out-of-state and online owners

Wyoming is popular for remote owners, but forming in Wyoming does not erase the rules of the state where work is actually performed.

Check:

  • Owner’s home-state tax rules
  • Where employees or contractors work
  • Where inventory is stored
  • Where customers receive goods or services
  • Whether another state requires foreign qualification
  • Whether another state requires sales tax or payroll registration

Common tax mistakes

Thinking “no income tax” means no filings

Wyoming may not have state income tax, but annual report license tax, sales tax, employer accounts, federal tax, and other states can still matter.

Missing the annual report

The annual report is due on the first day of the LLC’s anniversary month.

Confusing EIN with a sales tax license

EIN is federal. Wyoming sales tax licensing is separate.

Ignoring where the business actually operates

If the business is really operated from California, New York, Texas, or another state, that state may still have tax and registration rules.
