Kentucky annual report deadline
Kentucky Business One Stop says most businesses, except sole proprietorships, file an annual report with the Secretary of State. Businesses have January 1 through June 30 to file online or return the annual report card.
If the report is not filed by June 30, the business moves to bad standing. Kentucky says a 60-day notice is mailed July 1, and failure to file by August 31 can lead to administrative dissolution or revocation.
What the report confirms
Kentucky says newly formed businesses filing an annual report for the first time must:
- Submit names and addresses of officers, directors, members, managers, or trustees
- Confirm principal and registered office or agent
- Sign and date the report
- Submit the $15 payment
What it does not do
The annual report does not:
- File federal taxes
- File Kentucky income tax
- Pay LLET
- Register sales tax
- Register withholding
- Register unemployment insurance
- Renew local licenses
- Replace the operating agreement
Common mistakes
Waiting until June 30
The filing window opens January 1. File early enough to handle login, payment, or record issues.
Treating the annual report as taxes
The report is a Secretary of State filing. Kentucky tax returns and LLET are separate.
Assuming the registered agent files it
Some agents send reminders or offer filing service, but the LLC remains responsible.
