Educational guide, not legal or tax advice.

Kentucky LLC cost is low at formation but not just a $40 filing. The Kentucky Secretary of State lists domestic LLC Articles of Organization at $40 and the annual report at $15. Kentucky Department of Revenue also imposes Limited Liability Entity Tax, commonly called LLET, on most limited-liability businesses doing business in Kentucky, with a $175 minimum unless an exemption applies.

Formation filing cost

Kentucky Secretary of State lists domestic LLC Articles of Organization at $40. This creates the LLC, but it does not include:

  • Registered agent service
  • EIN filing help from a private company
  • Kentucky tax registration
  • Sales and use tax account
  • Employer withholding account
  • Kentucky Limited Liability Entity Tax filing
  • City, county, zoning, professional, or industry licenses
  • Formation-company service packages

Annual report cost

Kentucky LLCs file an annual report every year. The report fee is $15. Kentucky Business One Stop says reports are filed from January 1 through June 30.

Missing the report by June 30 puts the entity in bad standing. Kentucky says a 60-day notice is mailed July 1, and failure to file by August 31 can lead to administrative dissolution or revocation.

LLET cost

Kentucky’s LLET is a separate tax item. The Department of Revenue says Kentucky imposes this tax on businesses protected from liability, including LLCs, unless exempt. If total gross receipts or total gross profits are $3 million or less, the business generally pays the $175 minimum LLET.

This is why the cheapest Kentucky LLC year should not be read as only $15 after formation.
