Educational guide, not legal or tax advice.
Michigan LLC formation does not include every license, permit, or tax account. The $50 Articles of Organization creates the LLC, but operating legally can require separate state, local, and industry filings.
Educational note: This guide is for general informational purposes only. It is not legal, tax, accounting, or financial advice. Confirm current requirements with Michigan LARA, Michigan Treasury, UIA, local agencies, licensing boards, and qualified professionals.

Start with this checklist
- Form the LLC or confirm the legal name.
- Get EIN if needed.
- Register with Michigan Treasury if sales tax, withholding, or other business taxes apply.
- Register with UIA if the LLC has employees and unemployment rules apply.
- Check city, township, county, zoning, signage, health, food, alcohol, contractor, professional, and environmental rules.
- File an assumed name if using a public name different from the legal LLC name.
- Calendar renewals separately from the LARA annual statement.
Treasury registration
Michigan Treasury registration is separate from LARA formation. It matters if the business has sales tax, use tax, withholding, or other Michigan business tax obligations.
UIA and employees
If the LLC hires employees, review Michigan UIA employer registration and reporting. Payroll also creates federal and state withholding obligations.
Local and industry rules
Michigan does not have one single LLC filing that authorizes every business activity. Local zoning, city business licensing, food service, professional licensing, liquor, construction, cannabis, transportation, and environmental rules can all matter depending on the business.
License FAQ
Does a Michigan LLC need a business license?
Possibly. It depends on activity and location. Formation alone is not a license to operate every type of business.
Does Treasury registration create the LLC?
No. LARA forms the LLC; Treasury handles tax accounts.
Does UIA registration replace withholding registration?
No. UIA and withholding are related to employment, but they are different systems.
