What the resident agent does
The resident agent receives service of process and important notices for the LLC. This role is not the same as:
- Filing the Articles of Organization
- Writing the operating agreement
- Getting an EIN
- Registering Michigan Treasury tax accounts
- Registering UIA employer accounts
- Filing local permits
- Preparing tax returns
Registered office
The resident agent and registered office record needs to be reliable. If the owner uses a personal address, privacy and availability matter. If a professional registered agent is used, make sure annual service fees and cancellation rules are understood.
Changing the agent
Michigan law lists the statement of change of registered office or resident agent at $5. Do not cancel a paid agent before the replacement filing is accepted by LARA.
Practical note
The registered agent record should stay current for the full life of the LLC, not just on formation day. If the agent resigns, the office address changes, or mail is not forwarded quickly, the LLC can miss lawsuits, tax notices, annual reminders, or administrative-warning letters. Calendar the renewal or review date if you use a paid service.
