What the registered agent does
The registered agent is the official recipient for legal papers and important notices. This role is not the same as:
- Filing the Certificate of Formation
- Writing the operating agreement
- Getting an EIN
- Registering Mississippi DOR tax accounts
- Registering unemployment employer accounts
- Filing local licenses
- Preparing tax returns
Privacy and reliability
If you act as your own registered agent, consider address privacy and availability. If a professional registered agent is used, review renewal fees, cancellation rules, mail scanning, and annual report reminder policies.
Annual report reminder
Mississippi domestic LLC annual reports are free through the Secretary of State portal, but they are still required. A registered agent may remind you, but the LLC remains responsible for filing by April 15.
Practical note
The registered agent record should stay current for the full life of the LLC, not just on formation day. If the agent resigns, the office address changes, or mail is not forwarded quickly, the LLC can miss lawsuits, tax notices, annual reminders, or administrative-warning letters. Calendar the renewal or review date if you use a paid service.
Registered agent FAQ
Can I be my own registered agent?
Often yes if you meet Mississippi’s requirements and are comfortable with the address and availability tradeoffs.
Does registered agent service form the LLC?
No. The LLC is formed by filing the Certificate of Formation.
Does the registered agent file taxes?
No. Tax registration and tax returns are separate unless you hire a provider for those services.
