Educational guide, not legal or tax advice.

Mississippi LLC taxes depend on federal tax classification, business activity, taxable sales, employees, and local licensing. The domestic LLC annual report is free, but it is not a tax return.

Educational note: This guide is for general informational purposes only. It is not legal, tax, accounting, or financial advice. Confirm current requirements with IRS, Mississippi DOR, MDES, local agencies, and qualified professionals.

Federal tax treatment

By default, a single-member LLC is often disregarded for federal tax purposes and a multi-member LLC is often taxed as a partnership. An LLC can elect corporate tax treatment if eligible.

That classification affects federal returns, Mississippi returns, payroll, and whether corporate-level taxes may apply.

Mississippi DOR registration

Register with Mississippi DOR through TAP when the LLC needs tax accounts, such as:

  • Sales tax
  • Use tax
  • Employer withholding
  • Other activity-specific state tax accounts

DOR registration is separate from the Secretary of State Certificate of Formation and separate from EIN.

Employees and unemployment

If the LLC hires employees, review Mississippi withholding and MDES unemployment employer registration. Payroll creates federal and state filing duties beyond the LLC formation.

Do not mix up filings

Keep these separate:

  • Certificate of Formation: forms the Mississippi LLC
  • Annual report: free domestic SOS filing due April 15
  • EIN: federal IRS ID
  • DOR/TAP registration: Mississippi tax accounts
  • MDES registration: unemployment employer account
  • Local permits: city, county, or industry rules
