What the agent does

The registered agent receives service of process and official state correspondence. The agent is not automatically responsible for:

  • Filing the Certificate of Formation
  • Writing the operating agreement
  • Getting an EIN
  • Completing NJ-REG
  • Filing tax returns
  • Registering employees
  • Obtaining local or professional licenses

Choosing an agent

An owner can often serve if the person and office satisfy New Jersey requirements and the business can reliably receive documents there. A commercial registered agent can be useful when privacy, regular-hours availability, mail handling, or multi-state coverage matters.

Before paying for a service, check the renewal price, mail scanning rules, cancellation terms, forwarding policy, and whether annual report reminders are included.

Registered agent FAQ

Does a registered agent service form the LLC?

Not by itself. The LLC is formed by filing the Certificate of Formation.

Can I use only a post office box?

Do not assume a mailing address alone satisfies the registered office requirement. Confirm the current New Jersey address rules before filing.

Does the agent handle taxes?

No. Tax registration, returns, payroll, and licenses are separate unless specifically included in a contract.
