Federal tax treatment

By default, a single-member LLC is often disregarded for federal income tax purposes and a multi-member LLC is often taxed as a partnership. An eligible LLC can elect corporate tax treatment.

That federal classification affects federal returns, owner reporting, payroll, estimated taxes, and the New Jersey filings that may follow.

New Jersey registration and taxes

NJ-REG is a separate registration process for applicable New Jersey tax and employer accounts. Depending on the business, the LLC may need sales tax registration, employer withholding, corporation business tax or partnership-related filings, and other state accounts.

Do not assume that receiving an EIN or filing the Certificate of Formation completes these registrations.

Employer filings

When hiring, review New Jersey payroll withholding, unemployment, temporary disability, family leave, new-hire reporting, and workers’ compensation requirements. These are separate from the EIN and annual report.

Do not mix up filings

Keep these separate:

  • Certificate of Formation: creates the New Jersey LLC
  • Annual report: $75 state filing due in the anniversary month
  • EIN: federal IRS identification number
  • NJ-REG: applicable New Jersey tax and employer registration
  • Tax returns: recurring federal and state reporting
  • Licenses and permits: local, professional, and industry rules
