A New York LLC operating agreement is the company’s internal rulebook. It is separate from the $200 Articles of Organization, the publication certificate, and the $9 Biennial Statement.

New York law requires the members to adopt an operating agreement before, at the time of, or within 90 days after filing the Articles of Organization.

Why it matters
