Who can serve

The registered agent may be an individual or an authorized business entity that maintains a physical North Carolina registered office and can receive service of process during normal business hours. Do not treat a mailbox-only address as automatically satisfying the registered-office requirement.

An owner, manager, or employee may serve if the person and address meet state requirements and the business can reliably receive official documents.

What the registered agent does

The registered agent receives service of process and official correspondence. The agent is not automatically responsible for:

  • Filing Articles of Organization
  • Writing the operating agreement
  • Getting an EIN
  • Registering NC-BR tax accounts
  • Filing tax returns
  • Registering employees
  • Obtaining local or professional licenses

Choosing an agent

Consider privacy, regular-hours availability, mail scanning, forwarding rules, renewal price, cancellation terms, and whether annual report reminders are actually included.

Registered agent FAQ

Can I be my own registered agent?

Yes, if you satisfy North Carolina’s registered agent and registered office requirements.

Does a registered agent service form the LLC?

Not by itself. The LLC is formed by filing Articles of Organization.

Does the agent handle taxes?

No. Tax registration, tax returns, payroll, and licenses are separate unless a contract specifically says otherwise.
