What the Articles do not do

The Articles form the legal entity, but they do not:

After acceptance

Save the accepted Articles, create the operating agreement, apply for an EIN when needed, and review TNTAP and business-license requirements. Calendar the annual report based on the fiscal year, not automatically on the formation anniversary.

Practical note

The approved Articles or Certificate creates the LLC record, but it does not finish the business setup. After approval, use the same legal name and address consistently on the EIN application, bank account, state tax accounts, licenses, and operating agreement. If the state record has a typo or old address, fix it before building more registrations on top of it.
