Educational guide, not legal or tax advice.
Indiana LLCs do not file a normal annual report every year. They file a Business Entity Report every two years. The current INBiz page lists the fee at $32 online or $50 by mail.

Indiana deadline rule
INBiz says Business Entity Reports are due every other year in the month the business was formed. It also says the report is not considered overdue until after the last day of the anniversary month.
Example: if the Indiana LLC was formed on April 12, the report is due in April every two years. It should be filed before the end of April in the reporting year.
What the report does
The Business Entity Report updates the Secretary of State record. It is separate from:
- Federal income tax
- Indiana income tax
- Retail Merchant Certificate filings
- Withholding filings
- Unemployment insurance
- Local license renewals
- Professional license renewals
Common mistakes
Calling it an annual report
Many owners say “annual report” because that is common in other states. Indiana’s recurring filing is the Business Entity Report and it is biennial.
Using the wrong year
The report is due every two years. Use the formation year pattern and INBiz reminders.
Ignoring it because business is inactive
If the LLC is still active, the report is still required.
Thinking the registered agent handles it automatically
Some agents send reminders or file reports as a paid service, but the LLC remains responsible.
