Formation filing cost

Indiana’s cost table in this site uses the current INBiz fee structure: $95 online / $100 paper for a domestic LLC Articles of Organization. Online filing is usually the cleaner route because it is cheaper and reduces paper handling.

The formation fee does not include:

  • Registered agent service
  • EIN filing help from a private company
  • Indiana Department of Revenue tax registration
  • Retail Merchant Certificate when required
  • Withholding registration
  • Unemployment insurance account setup
  • City, county, zoning, health, or professional licenses
  • Formation-company service packages

Recurring state filing cost

Indiana LLCs do not have a standard yearly annual report. They file a Business Entity Report every two years. The official INBiz Business Entity Report page lists the fee at $32 when filed online and $50 when filed by mail.

The report is due during the anniversary month of formation. INBiz says the report is not considered overdue until after the last day of that month.

Retail Merchant Certificate cost

If the LLC sells tangible personal property or otherwise needs Indiana sales tax registration, a Retail Merchant Certificate may be required. Indiana’s business guide says the Retail Merchant Certificate application fee is $25 and is nonrefundable.
