Educational guide, not legal or tax advice.
An Indiana LLC filing does not automatically license the business to operate. Articles of Organization create the legal entity. Licenses, permits, tax accounts, zoning clearance, and professional approvals depend on what the LLC does and where it operates.
Educational note: This guide is for general informational purposes only. It is not legal, tax, accounting, or licensing advice. Confirm requirements with Indiana agencies, city and county offices, professional boards, and qualified professionals.

Start with what the business does
Indiana’s own business guide says Indiana does not have one single comprehensive business license, but businesses can be subject to regulatory requirements from several agencies.
Ask:
- Will the LLC sell tangible personal property?
- Will it hire employees?
- Will it operate from a public location?
- Will it be home-based?
- Does the city require a business license?
- Does county zoning apply?
- Is food, alcohol, health, childcare, construction, transportation, or professional work involved?
- Will the LLC use an assumed business name?
Retail Merchant Certificate
Indiana’s business guide says a Retail Merchant Certificate is required for businesses selling or transferring tangible personal property and that the application fee is $25.
Do not confuse this with the LLC filing fee. The LLC Articles create the company. The Retail Merchant Certificate is part of Indiana sales tax registration when required.
Local and zoning checks
Local requirements can matter even when the state LLC filing is simple.
Check:
- City clerk or licensing office
- County recorder or clerk
- Zoning or planning office
- Health department
- Fire or building department
- Local signage rules
- Home occupation rules
Professional or regulated work
Some services require professional licensing or agency approval. Forming an LLC does not authorize unlicensed work. A contractor, salon, health provider, real estate business, childcare provider, or food business may need more than the Secretary of State filing.
Licenses FAQ
Does forming an Indiana LLC give me a business license?
No. It creates the LLC. Operating licenses are separate.
Does every Indiana LLC need a Retail Merchant Certificate?
No. It depends on taxable sales and business activity.
Are local licenses included in the $95 filing?
No. Local licenses and permits are separate.
Do online businesses need Indiana permits?
Possibly. Online activity can still create sales tax, local, professional, or employer obligations.
