Maryland uses the term resident agent. A Maryland LLC needs a resident agent that can receive legal papers and official notices. The LLC cannot act as its own resident agent.

Who can serve

Maryland Business Express says most businesses need a resident agent. The resident agent must be one of these:

  • Adult citizen of Maryland
  • Maryland corporation
  • Maryland LLC
  • Maryland LP or LLLP

Maryland Business Express also says the business cannot act as its own resident agent.

Address rules

Maryland Business Express says the business’s main office must be a real street address in Maryland and not a P.O. Box, post office, UPS store, mailbox service, or virtual address. Do not mix this up with ordinary mail forwarding.

The resident agent address also needs to work for legal notice purposes. If privacy is important, a professional resident agent may be worth considering.

Changing the resident agent

Maryland law lists a $25 fee for a notice of change of name or address of resident agent. Do not cancel the old agent before the new agent record is accepted by SDAT.
