Registered office versus registered agent
A registered office is the address used for official correspondence and service-related documents. A Commercial Registered Office Provider, or CROP, is a contracted provider that can be listed when the company does not have its own Pennsylvania address.
Pennsylvania says a CROP is not the same as a registered agent. An agent may be authorized to receive service of process, but the state registration does not require that agent to be publicly designated in the same way as many other states.
Address rules
The registered office must be an actual Pennsylvania street address or rural route box number. A post office box alone is not sufficient. Keep the address current so state notices and legal documents can reach the company.
Choosing an office provider
Compare the provider’s annual price, mail scanning and forwarding rules, service-of-process handling, renewal terms, cancellation policy, and whether the provider has been contracted before listing its address.
What the office provider does not do automatically
It does not automatically:
- File the Certificate of Organization
- Write the operating agreement
- Apply for an EIN
- Register Pennsylvania tax accounts
- File tax returns
- Obtain local or professional licenses
