Missouri LLCs do not file a standard Secretary of State annual report. The Missouri Secretary of State FAQ answers the LLC annual report question directly: No.

Educational note: This guide is for general informational purposes only. It is not legal, tax, accounting, or financial advice. Confirm current requirements with Missouri Secretary of State, Missouri DOR, Missouri Department of Labor, local agencies, and qualified professionals.

DOR tax filings still possible? Yes, depends on activity
Unemployment filings still possible? Yes, if liable as an employer

What this means

Missouri’s no-annual-report rule makes Secretary of State maintenance simpler than many states. It does not mean the LLC can ignore every recurring obligation.

You may still need to manage:

  • Registered agent and registered office accuracy
  • Missouri DOR sales tax filings
  • Vendor’s use tax or consumer’s use tax filings
  • Employer withholding filings
  • Unemployment contribution and wage reports
  • Income tax filings
  • Fictitious name renewals
  • City or county business license renewals
  • Professional or industry license renewals

Do not confuse corporations with LLCs

Missouri corporations can have registration report requirements and fees. LLCs are different. If you are reading a Missouri fee table or reminder notice, make sure it is referring to a limited liability company, not a corporation or another entity type.

Registered agent still matters

Even without an annual report, a Missouri LLC should keep its registered agent and registered office current. The fee schedule lists a $10 change fee for registered agent, registered office address, or both for most entities.
