What to include

A useful operating agreement should cover:

  • Legal LLC name
  • Formation date
  • Registered agent and registered office
  • Member names
  • Ownership percentages
  • Capital contributions
  • Member-managed or manager-managed structure
  • Voting rules
  • Profit and loss allocation
  • Banking authority
  • Tax classification expectations
  • Who can sign filings
  • New member admission
  • Transfer and buyout rules
  • Member exit and dispute process
  • Dissolution process
  • Who handles annual reports, DRA accounts, licenses, and records

Single-member New Hampshire LLC

A single-member LLC still benefits from an operating agreement. It helps with banking, contracts, bookkeeping, and documenting the separation between the owner and company.

New Hampshire DRA separately explains that a single-member LLC may have its own New Hampshire business tax filing obligations, so the operating agreement should not be treated as a substitute for tax advice.

Multi-member New Hampshire LLC

Multi-member LLCs need more detail. Put voting, distributions, buyouts, member exits, tax responsibilities, and management authority in writing before money or disputes create pressure.

Operating agreement FAQ

Do I file the operating agreement with New Hampshire?

No. New Hampshire Secretary of State FAQ says LLC operating agreements are not filed with that office.

Is it the same as the Certificate of Formation?

No. The Certificate forms the LLC. The operating agreement governs internal rules.

Should it mention annual reports and taxes?

Yes. Assign responsibility for April 1 annual reports, DRA tax accounts, NHES filings, licenses, and company records.
