A New Hampshire LLC must maintain a registered agent and registered office in New Hampshire. The registered office is a physical address, not a post office box.

Who can serve

New Hampshire Secretary of State says a registered agent may be an individual, corporation, or LLC located in New Hampshire. The agent must have a physical New Hampshire address, and the registered office cannot be only a post office box.

An owner, manager, or employee may serve as the agent if they can be located at the registered office during regular business hours.

What the registered agent does

The registered agent is not the same as:

  • Filing the Certificate of Formation
  • Writing the operating agreement
  • Getting an EIN
  • Registering New Hampshire DRA tax accounts
  • Registering with NH Employment Security
  • Filing local licenses
  • Preparing tax returns

Privacy and reliability

If you act as your own registered agent, consider address privacy and availability. If you use a professional registered agent, review renewal fees, mail scanning, cancellation rules, and whether the service reminds you about April 1 annual reports.

Failure to maintain a registered agent can result in administrative suspension or dissolution.
