DC filing calendar

Timing What it means
Formation year LLC is registered with DLCP
Next calendar year First biennial report due by April 1
Every two years after Subsequent reports due by April 1

Example: if a DC LLC is registered in 2026, the first biennial report is due by April 1, 2027. The next report would generally be due by April 1, 2029.

What the biennial report updates

DLCP’s FAQ says the BRA-25 biennial report lets an entity update:

  • Address
  • Registered agent information
  • Purpose
  • Beneficial owner information

The report is an entity-status filing. It is separate from tax returns, BBL renewals, certificate of occupancy issues, and trade name renewals.

Fees and late filing

DLCP’s LLC fee schedule lists:

Filing Fee
Biennial report $300
Biennial report late fee $100

Do not confuse “biennial” with “every other year whenever convenient.” The due date is specific.

Common mistakes

Calling it an annual report

Users search for “annual report,” but DC’s LLC maintenance filing is biennial.

Missing the first April 1

The first report is due the next calendar year after registration, which can feel soon if the LLC forms late in the year.

Assuming the registered agent files it

Some agents remind clients, but the LLC remains responsible.

Treating it as a tax filing

The biennial report is not FR-500, sales tax, franchise tax, withholding, or personal property tax.
