Educational guide, not legal or tax advice.
DC LLC processing time depends on whether you file online through CorpOnline, mail or walk in a filing, whether the name and registered agent information are complete, and whether licensing or tax registration steps are needed after formation.
Educational note: This guide is for general informational purposes only. It is not legal, tax, accounting, or financial advice. Confirm current timing with DLCP before filing.
Quick answer
| Question | Practical answer |
|---|---|
| Main formation filing | Domestic LLC certificate/articles filing, Form DLC-1 |
| Filing fee | $99 |
| Online filing | CorpOnline |
| Walk-in expedited fee | $100 extra for one-day service, according to DLCP |
| First biennial report | Due April 1 of the next calendar year |
| Tax registration | FR-500, separate from LLC formation |
| License step | Basic Business License may be required before operating |
What can delay a DC LLC?
| Issue | Why it matters |
|---|---|
| Name is not distinguishable | DC entity names must be distinguishable on the records |
| Registered agent problem | Domestic and foreign filing entities must maintain a registered agent |
| Incomplete principal office information | DC formation law requires principal office street and mailing addresses |
| Filing during system transition | DLCP says BOSS is launching in August 2026 and temporary interruptions may occur |
| Waiting on tax registration | FR-500 can take several business days according to the DC Business Portal |
| Missing BBL or occupancy requirement | Formation approval does not mean the business can operate |
Practical workflow
- Search the business name.
- Choose a DC registered agent.
- Prepare principal office street and mailing addresses.
- File Form DLC-1 online through CorpOnline if possible.
- Save the approved formation record.
- Apply for EIN if needed.
- Register tax accounts through FR-500.
- Apply for Basic Business License if required.
- Check certificate of occupancy or home occupation permit requirements.
- Calendar the first biennial report due April 1 of the next calendar year.
System and walk-in notes
DLCP’s domestic LLC page says walk-in customers are charged a $100 one-day expedited fee in addition to regular filing fees. Online filers should save the confirmation page for records.
DLCP also says it is launching BOSS, a new business registration and licensing system, in August 2026, with possible temporary service interruptions during transition. If timing is critical, check DLCP’s current system notices before filing.
After formation
LLC approval does not automatically:
- Issue an EIN
- Register tax accounts
- Approve a Basic Business License
- Approve a Certificate of Occupancy
- Approve a Home Occupation Permit
- Register a trade name
- File the biennial report
Processing time FAQ
Can I form a DC LLC online?
Yes. DLCP directs online filers to CorpOnline.
Does expedited filing include tax registration?
No. Expedited service relates to the DLCP filing, not OTR tax accounts or licensing.
Should I get EIN before or after formation?
Usually after the LLC is approved so the IRS record matches the accepted legal name.
Does DC require newspaper publication?
No standard newspaper publication step applies to forming a DC LLC.
