Minnesota law says LLCs file annual renewal by December 31 each calendar year, beginning in the calendar year after the Articles of Organization are filed. No fee is required to file the annual renewal.

Example: if a Minnesota LLC is formed in 2026, its first annual renewal is due by December 31, 2027.

Why free still matters

Because the fee is $0, many owners ignore it. That is a mistake. Failure to file the annual renewal can lead to administrative termination. Reinstatement costs money and can create avoidable cleanup work.

The current Secretary of State fee schedule lists annual reinstatement at $65 by mail and $85 online or in person.
