Registered office

Minnesota DEED says an LLC must have a registered office located in Minnesota at a physical location, not a post office box, where a person representing the company can be found.

The registered office can be the business location or another qualifying Minnesota location. If you use a personal address, consider privacy and availability.

Registered agent

Minnesota statute says every LLC must have a registered office and may have a registered agent. DEED says if an LLC lists a registered agent in the Articles, the agent’s full name must be shown and the agent must be located at the registered office.

This is different from states where every LLC must separately appoint a registered agent.

Minnesota Secretary of State lists change of registered office address and/or registered agent at $35 by mail and $55 online or in person.
