Educational guide, not legal or tax advice.
Minnesota LLC taxes depend on federal tax classification, business activity, taxable sales or services, employees, and whether the LLC needs a Minnesota Tax ID. The $0 annual renewal is a Secretary of State filing, not a tax return.
Educational note: This guide is for general informational purposes only. It is not legal, tax, accounting, or financial advice. Confirm current requirements with IRS, Minnesota Department of Revenue, Minnesota UI, local agencies, and qualified professionals.

Federal tax treatment
By default, a single-member LLC is often disregarded for federal tax purposes and a multi-member LLC is often taxed as a partnership. An LLC can elect corporate tax treatment if eligible.
That classification affects federal returns, Minnesota returns, owner reporting, payroll, and estimated tax planning.
Minnesota Tax ID
The Department of Revenue says a Minnesota Tax ID Number is used to report and pay Minnesota business taxes. You need one if, among other reasons, you make taxable sales or leases in Minnesota, perform taxable services in Minnesota, withhold Minnesota income tax from employees’ wages, make estimated business tax payments, or file certain business tax returns.
Sales tax and withholding
Use Department of Revenue guidance to decide whether sales and use tax applies. If the LLC hires employees, Minnesota Revenue says new employers generally must register for a FEIN, Minnesota Tax ID Number, and Minnesota UI Employer Account number.
UI employer account
Minnesota UI says employers with employees covered by Minnesota UI or Paid Leave law must register for an employer account. UI registration is separate from the Secretary of State annual renewal and separate from Minnesota Tax ID.
Do not mix up filings
Keep these separate:
- Articles of Organization: forms the Minnesota LLC
- Annual renewal: $0 Secretary of State filing due December 31
- EIN: federal IRS ID
- Minnesota Tax ID: Department of Revenue tax account ID
- UI employer account: unemployment and Paid Leave employer system
- Licenses and permits: ELicensing, city, county, or industry rules
