Formation filing cost

Minnesota Secretary of State lists domestic LLC Articles of Organization at $135 by mail and $155 online or in person. The statute also says a Minnesota LLC is formed when Articles of Organization are filed with the Secretary of State and accompanied by a $135 payment.

The formation fee does not include:

Annual renewal cost

Minnesota’s annual renewal is $0 when filed on time. The renewal is still required. Minnesota law says LLCs must file an annual renewal by December 31 each calendar year beginning in the year after formation.

If the LLC becomes inactive, reinstatement costs money. The current fee schedule lists annual reinstatement at $65 by mail or $85 online/in person.
